’OOO’- Limited Liability Company /Organizatsiya Ogranichennoy Otvetstvennoszti/
(British equivalent – the Ltd.)

The Limited liability company /hereinafter referred to as „OOO” or Company / - an economic group founded by one or more persons (foreigners amongst others), with a registered capital divided by the ratio mentioned in the founding document.

The OOO’s registered capital is 10 000 RUR /app. 196 GBP/ Members of the OOO are not liable for the company’s obligations and for damages caused hence thereof, only by the sum of the registered capital.
Those members of the company who only paid a part of the registered capital, are jointly and severally liable for the company’s obligations by the non-paid sum.
The company – OOO is considered a legal entity from the moment of the state registration.
In case it is not otherwise mentioned in the founding document, the company is registered for an unlimited period of time.

The company has a separate balance and its own assets. It may take upon itself asset-rights and personal non-asset rights, may appear as a claimant or respondent in front of a court of law.
The company may conduct business in any activity not forbidden by the Federation Law, if it does not contradict the scope of activity stated and objectives in the company’s rule-book. Several scopes of activity are only allowed with special permits. If the operational permit mentions a single activity, then the company may perform only the allowed activity and those related to it.
The company may open bank accounts within and outside the borders of the Russian Federation.
The company must have a round seal and may own stamps, fill-out documents, product trademarks, or other means referring to its individuality.
